ELCOT has promoted 38 companies in the Joint/Associate/Escort sectors apart from its own operations in the public sector. The details of the companies are as follows: A Joint Sector Company is a company in which ELCOT would hold 26% to 50% of the total shareholding of the company and the remaining shareholding would normally be held in the ratio of 25% by the private promoter and his associates and the 49% by the public. In joint sector companies, ELCOT and the private promoter would have equal number of Directors on the Board. One of the Directors representing the private promoter shall be the Managing Director looking after the day-to-day management of the joint sector company, whereas one of the Directors representing ELCOT shall be the Chairman of the Board of Directors of the joint sector company. Such a Chairman shall have a casting vote in addition to his normal vote as a Director in the event of a tie between the Directors representing ELCOT and the private promoter. An Associate Sector Company is a company in which ELCOT would hold 2% to 11% of the total equity of the Company and the remaining would be held by the private promoter, his associates and the public. In such Associate Sector Companies, ELCOT shall have only one Director representing ELCOT on the Board. The day-to-day management and the Chairmanship of the Board of Directors would be the prerogative of the private promoter.
